Terms & Conditions of Sale and Site Use

1. These terms

These terms apply to every order placed with Urbanbuy Commerce Corp ("Urbanbuy", "we", "us") and to every use of urbanbuycommerce.com. By opening an account, placing an order or using the site, the business you represent ("you", "the buyer") accepts them. Terms printed on a buyer's purchase order don't apply unless we agree to them in writing.

2. Who may buy

We sell only to registered US businesses that hold a valid state resale certificate. No consumer sales, no single-unit shipping.

We may refuse or cancel any order — for example, when a resale certificate can't be verified, account details don't check out, or an item was listed at the wrong price. If we cancel an order you've already paid for, we refund the full amount.

3. Accounts

• Give accurate information on the application and keep it current — address, ownership and resale certificate renewals.
• Keep your login secure. Orders placed through your login are treated as orders from your business.
• If you think your login has been used without permission, email accounts@urbanbuycommerce.com right away.
• We may suspend an account that was opened with false information or that breaks these terms.

4. Pricing

• Prices are in US dollars, as shown on the current pricelist, and exclude freight and any sales tax that applies.
• We may change prices with notice. The price on an order we have approved is the price you pay.
• Most SKUs sell in inner packs of 6 or 12. Full master cases take an extra 4% off the line price.
• Sales tax is charged where required unless a valid resale certificate for the ship-to state is on file.
• Pricing is confidential to your account. Don't publish it or pass it to other businesses.

5. Order minimums

• Opening order: $375, any mix of lines.
• Reorders: $140 per order.

6. Payment

• Your first three orders are prepaid by ACH, wire or card.
• Net 30 terms open after three paid orders and two trade references we can verify. Net 30 invoices are due 30 days from the invoice date.
• If a balance is past due, we may pause shipping on open and new orders until it's paid, and we may withdraw Net 30 terms.

7. Shipping, title and risk

• Orders approved by 2:15 PM MT ship the same business day, Monday to Friday, except federal holidays. Orders approved later ship the next business day.
• Parcels ship UPS Ground. Orders of 12 cartons or more ship by LTL freight with a delivery appointment.
• We ship only to addresses in the 48 contiguous states and the District of Columbia.
• Freight is free on orders of $1,250 or more. Below that, freight is billed at cost.
• Transit times — 1–5 business days in the contiguous US, Denver in 1–2 and Newark in 4–5 — are carrier estimates, not guarantees.
• Title and risk of loss pass to the buyer on delivery.

8. Inspection and claims

• Check each delivery against the pick ticket. Note any visible carton damage on the carrier's delivery receipt before you sign.
• Report damage, shortages or mis-picks within 14 days of delivery to accounts@urbanbuycommerce.com, with photos and the pick-ticket number.
• Once a claim is confirmed — usually the same day — we credit the invoice or reship, whichever you prefer.
• Claims filed after 14 days, or without photos and the pick-ticket number, may be declined.

9. Returns

• We accept unopened, resalable product within 30 days of delivery, with a return authorization issued by us before the return ships. Returns sent without one may be refused.
• Buyer's-choice returns — product you no longer want — carry a 15% restocking fee.
• No returns on clearance items or special orders.
• Our errors — damage, shortages, mis-picks — are handled as claims under section 8, with no restocking fee.

10. Product and authenticity

• We buy from brand manufacturers and their authorized US distributors. On request, we'll send the purchase invoice for any SKU on your order, pricing redacted.
• Units ship factory-sealed with the original lot code, and lot codes are recorded on every pick ticket. Skin and body care ships with at least 12 months to expiry.
• Manufacturer warranties, where they exist, pass through to you.

Beyond manufacturer warranties, we make no other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose, to the extent the law allows.

11. Resale conditions

• You're responsible for following each brand's resale policies, each marketplace's listing rules, and minimum advertised price (MAP) policies where they apply.
• Some brands limit which channels or marketplaces may sell their products. We don't guarantee that a brand or marketplace will allow you to list a given product.
• You're responsible for selling in line with the laws that apply to your business.

12. Limitation of liability

To the extent the law allows, our total liability for any claim relating to an order is limited to the invoice value of the goods concerned. We aren't liable for indirect, incidental or consequential losses, including lost profits or lost sales.

13. Governing law and venue

These terms are governed by the laws of the State of Wyoming. Venue for any dispute is Sheridan County, Wyoming, and both parties consent to the jurisdiction of its courts.

14. Site content and trademarks

• Site text, layout and graphics belong to Urbanbuy Commerce Corp. Photo and icon sources are listed on the credits page.
• Brand names, logos and product names belong to their owners. We use them to describe what we stock; no endorsement, sponsorship or affiliation is implied.
• Use the site to learn about our products and to do business with us. Don't scrape it, republish the pricelist, interfere with its operation or send false information through its forms.
• Stock status and transit times on the site are for planning and can change. The approved order governs.

15. Changes

We may update these terms. The version posted here applies to orders approved on or after its "Last updated" date; orders already approved stay under the terms in effect when we approved them.
